Affiliate Agreement & FTC Disclosure

1. Overview & eligibility
This Affiliate Agreement (the “Agreement”) governs your participation in the gardenpatch affiliate program (the “Program”), operated by Gardenpatch. By applying to or participating in the Program, you (“you,” “Affiliate”) agree to these terms.
Acceptance into the Program is at our sole discretion; every application is reviewed by hand. You must be at least 18 years old, able to enter a binding contract, and provide accurate registration information. Your acceptance does not create an employment, agency, partnership, or joint-venture relationship — you are an independent contractor.
2. Commission terms
Playbooks (one-time products). Individual playbooks are priced at $799 and the Complete Bundle at $2,999. You earn a tiered commission on qualifying playbook sales based on your cleared lifetime revenue driven:
- Seed — 35% from your first sale.
- Bloom — 40% once you clear $5,000 in cleared lifetime revenue.
- Harvest — 45% once you clear $15,000 in cleared lifetime revenue.
- Legend — 50% once you clear $50,000 in cleared lifetime revenue.
Your tier is monotonic — it only ever goes up. Once you reach the Legend tier, your 50% rate is locked for as long as you remain in the Program and never drops, even if your revenue in a later period is lower.
Legend quarterly bonus. In any calendar quarter where you are a Legend and clear at least $10,000 in cleared revenue, you earn a flat $1,000 performance bonus for that quarter.
Audience discount codes. Your personal promo code gives your audience 10% off at the Seed and Bloom tiers. Once you reach the Harvest tier, the discount on your code increases to 15% off. The discount is funded by us and does not reduce your commission, which is calculated on the amount the customer actually pays.
Petunia (recurring software). You earn 30% of recurring subscription revenue for the first 12 months a referred customer remains subscribed, then 15% for the lifetime of the subscription while the account stays active and paid in full.
First-sale bounty. On your first 2Petunia referrals, you additionally earn a bounty equal to 100% of the customer's first month, capped at $299 per referral. The bounty vests only after the subscription survives 60 days; if the customer cancels or refunds before then, the bounty is not paid (or is clawed back if already credited).
Milestone bonuses. One-time cash bonuses are paid when your cleared lifetime revenue crosses these thresholds: $250 at $5,000, $750 at $10,000, $2,000 at $25,000.
Refer-a-creator. If you refer another creator who is accepted and clears their first $500 in cleared revenue, you earn a $100 finder bonus plus a 5% override on their commissions for 12 months. The override is company-funded— it is paid by us in addition to the referred creator's full commission and never comes out of their earnings. This is a single-level benefit only: it is capped, time-boxed, and is not a multi-level, recruiting-based, or open-ended downline structure.
Commission applies only to genuine, completed, paid transactions by customers you did not previously refer or who were not already our customers, where the sale is validly attributed to you under Section 3. We reserve the right to set, adjust, or correct rates and thresholds on a forward-looking basis; the canonical economics are maintained in our program configuration.
3. Attribution & clawback
Attribution is last-click. When a customer clicks your referral link, we set a cookie that lasts 60 days; a qualifying purchase within that window, or a checkout using your discount code, is credited to you. If multiple affiliates are involved, the most recent qualifying click or code applied at checkout takes precedence.
Clawback / chargeback. Commission on any sale that is later refunded, reversed, charged back, fraudulent, or otherwise invalidated will be reversed. To absorb the refund window, commission is held for 30 days before it becomes payable. If a clawback occurs after a payout, the amount will be deducted from your future balance or, if necessary, invoiced to you.
4. Payout terms
Payouts are made via Stripe Connect; you must complete Stripe's onboarding and identity verification to receive funds. We do not control and are not responsible for Stripe's processing times or requirements.
- Schedule: paid weekly, automatically. Our payout job runs continuously and sweeps every payable balance that meets the minimum — there is no monthly cutoff or net-30 invoicing delay.
- Minimum: a balance of at least $50 payable; smaller balances roll forward.
- Refund-safety hold: a commission becomes payable 30 days after the sale, so a refund or chargeback can be absorbed before funds go out. This window is the only delay between earning and payout; it is not a payout schedule.
- Security cooldown: after you change payout details, funds are held an additional 24 hours as an account-takeover safeguard.
You are responsible for keeping your payout details accurate. We are not liable for funds sent to a payout destination you provided.
5. Tax & 1099 requirements
You are solely responsible for all taxes on amounts you earn through the Program. As an independent contractor, you must provide a valid tax form (e.g. a Form W-9 for U.S. persons, or the applicable W-8 series for non-U.S. persons) before payouts can be issued where required.
If you are a U.S. person and your earnings meet the applicable IRS reporting threshold in a calendar year, we (or our payments processor) will issue a Form 1099. Providing false tax information, or failing to provide required tax documentation, may result in withheld or forfeited payouts.
6. FTC disclosure obligations
You must clearly and conspicuously disclose your affiliate relationship with gardenpatch on everypromotion, in compliance with the U.S. Federal Trade Commission's Endorsement Guides and equivalent laws in your jurisdiction.
- Use an unambiguous disclosure such as #ador “paid partnership,” placed where it's seen before the audience engages — not buried in hashtags or behind a “more” link.
- In video, state the disclosure verbally and on-screen, not only in the caption.
- Make only truthful claims. Do not misrepresent the products, promise specific income or guaranteed results, or imply an endorsement, affiliation, or outcome we have not stated.
Failure to disclose properly is a material breach of this Agreement and may result in withheld commission and termination. You are responsible for your own compliance; nothing here is legal advice.
7. Prohibited practices
The following are strictly prohibited and may result in reversal of commission, forfeiture of your balance, and immediate termination:
- Self-referral. Purchasing through your own link or code, or arranging for others to credit purchases you control.
- Cookie stuffing. Setting referral cookies without a genuine, intentional click by the user.
- Trademark / brand-term bidding.Bidding on “gardenpatch,” product names, or confusingly similar terms in paid search, or using them in ad copy or display URLs.
- Coupon-aggregator posting. Posting your code to coupon, deal, or cashback aggregator sites (e.g. Honey, RetailMeNot, and similar).
- Spam. Unsolicited email, SMS, comment spam, DM blasts, or any promotion that violates anti-spam laws or platform rules.
- Fake or incentivized clicks & conversions. Bot traffic, click farms, paying users to click or buy, or otherwise generating non-genuine activity.
- Misrepresentation. Impersonating gardenpatch, posing as an official account, or creating sites/pages implying you are us.
- Typosquatting / domain abuse. Registering domains or handles that mimic our brand.
8. Brand & IP usage
We grant you a limited, non-exclusive, revocable, non-transferable license to use the gardenpatch name and approved logos solely to promote the products under this Agreement, in line with any brand guidelines we provide. All intellectual property, including trademarks, content, and the products themselves, remains ours.
You may not modify our marks, use them in a misleading way, register them, or imply endorsement beyond your role as an affiliate. This license ends automatically when your participation in the Program ends.
9. Termination
Either party may end this Agreement at any time, for any reason, with notice. We may suspend or terminate your participation immediately for suspected fraud, a prohibited practice, an FTC-disclosure failure, or any breach of this Agreement.
On termination, your license to use our brand ends and you must stop promoting and remove our marks. Validly earned, unpaid commission for genuine completed sales will be paid out on the normal schedule, subject to clawback — except where termination is for fraud or a material breach, in which case unpaid amounts may be forfeited.
10. Changes & governing terms
We may update this Agreement and the Program's economics on a forward-looking basis. Material changes will be communicated, and your continued participation after a change constitutes acceptance. The Program is also subject to our general Terms of Service and Privacy Policy.
